TERMS & CONDITIONS

Welcome to STUDIO M HERAK (MODERN CITY DESIGN) By engaging in our services, you agree to abide by the following terms and conditions. These terms outline the intellectual property rights, usage guidelines, and responsibilities related to our design services. Please read carefully before proceeding with any collaboration.

1. Ownership & Copyright

1.1. All design concepts, artwork, graphics, branding materials, and any other intellectual property created by STUDIO M HERAK (MODERN CITY DESIGN)remain the sole property of the studio until full payment is received.
1.2. Upon full payment, clients are granted a non-exclusive, non-transferable license to use the final design deliverables as agreed upon in the project scope.
1.3. STUDIO M HERAK (MODERN CITY DESIGN)retains the right to use any project materials for portfolio, promotional, and marketing purposes unless otherwise agreed in writing.
1.4. Any unauthorized reproduction, modification, or resale of our designs without written consent is strictly prohibited.

2. Usage Rights & Restrictions

2.1. Clients may not claim authorship or resell any design provided by STUDIO M HERAK (MODERN CITY DESIGN)
2.2. Designs may not be altered, modified, or repurposed for unintended uses without prior consent from STUDIO M HERAK (MODERN CITY DESIGN)
2.3. Any third-party usage beyond the agreed-upon scope requires explicit written approval and may be subject to additional licensing fees.

3. Project Scope & Revisions

3.1. Each project includes a predetermined number of revisions as outlined in the initial agreement. Additional revisions may incur extra costs. This may also delay deadlines which Studio M Herak will not be penalized with extra time needed.

3.2. Project timelines are a guide to the scope and projected completion date. A hard deadline will never carry a penalty due to the line of work and amount of revisions required for a completed project.
3.3. Any modifications requested after the project completion may be subject to additional fees.
3.4. If a project is canceled after the commencement of work, STUDIO M HERAK reserves the right to charge for completed work up to that point.

3.5 STUDIO M HERAK (MODERN CITY DESIGN) hourly rate is CHF 150.- / USD 150 unless otherwise negotiated.

3.6 Our Projects have a flat agreed upon rate, any outside of the scope in the project overview will be further discussed as an add on or an hourly rate.

4. Payment Terms

4.1 A deposit is required to initiate any project. The remaining balance must be paid upon project completion and before final files are delivered.

4.2 Late payments may result in project delays and/or additional fees.

4.3 All payments are non-refundable once work has commenced unless otherwise agreed in writing.

4.5 Payments must be made within 14 days of the invoice send date.

4.6 Ownership of all designs and websites will not be transferred until full payment has been received.

4.7 If an hourly rate applies and payment is not received, Studio M Herak reserves the right to remove any content created or implemented during the unpaid working period.

4.8 If Studio M Herak is denied administrative access to completed work, the first step will be sending the outstanding balance to collections. If unresolved, legal action will follow.

4.9 By accepting the partnership terms, any payment made during the project confirms the partner’s understanding and agreement to these conditions.

5. Client Obligations & Project Responsibility

5.0 All client-requested work will be completed at an hourly rate. Any additional strategies will be discussed and confirmed with the client before proceeding.

5.1 It is the client’s responsibility to monitor hourly rate obligations and track how Studio M Herak allocates time. A detailed, daily hourly log is maintained and accessible to the client.

5.2 Invoices will include an overview of tasks. A detailed breakdown of completed tasks is available upon request.

5.3 Hourly Rate projects will be sent at the first of the month, the client is responsible to post the payment within 14 days, a 5% fee will be added for each day the payment is pending.

5.4. STUDIO M HERAK agrees to keep all client-provided materials confidential and will not disclose sensitive information to third parties without prior consent.
5.5. Clients are responsible for securing proper rights and permissions for any materials they provide to STUDIO M HERAK for use in their designs.

5.6 Studio M Herak will consent to any NDA required working with the business but will have refusal of a non-compete request. We reserve the right to work with any businesses that may in in the same sector.

6. Liability & Indemnification

6.1. STUDIO M HERAK is not responsible for any legal disputes arising from the improper use of designs once delivered.
6.2. Clients assume full responsibility for the legal use of all design assets.
6.3. STUDIO M HERAK shall not be held liable for indirect, incidental, or consequential damages resulting from design usage.

6.4 Studio M Herak reserves the right to take legal action against any false, misleading, or defamatory statements that harm its reputation. Any public or written communication that misrepresents the company, its services, or its employees may result in legal consequences.

7. Termination of Services

7.1. Either party may terminate the agreement if obligations are not met. In such cases, payments for completed work remain due.
7.2. Upon termination, all usage rights granted to the client will be revoked unless otherwise specified in writing.

8. Governing Law

8.1. These Terms & Conditions shall be governed by the laws of Switzerland. Any disputes shall be settled in Swiss or US courts.
